Terms and Conditions Agreement

These Terms and Conditions govern the services provided by Nueva Vida Media LLC, including web design, hosting, graphic design, social media marketing, and search engine optimization (SEO) and any other services provided to clients indicated by invoices to client. By engaging our services, you agree to abide by these terms.
1. Hourly Rate
Our standard hourly rate is applicable with a minimum billing of 1.5 hours for any service rendered. Any work performed beyond the initial 2 hours will be billed in 15-minute increments.
2. Payment Terms
Invoices will be issued based upon billing agreements. In any new design a deposit may or may be required and payments will be made based on progression of project if applicable. Otherwise all invoices are due upon annotated due date on invoice. Most services will not be rendered until invoice is paid in full. Late payments may incur additional fees.
Any invoice not paid after 7 days from invoice due date will incur a $25 later fee. After 14 days a $50 late fee or 15% of invoice balance will be assessed (whichever is greater)
3. Website Maintenance Plans
Website maintenance plan prices are subject to change over time. However, any agreements made regarding specific maintenance plans prior to a price change will remain valid and will not be voided by subsequent price adjustments. Nueva Vida Media LLC will make every effort to let clients know of ANY pricing change. Client not reading email does not indemnify client from agreement.
Maintenance plans are either monthly (Level2) or quarterly (Level1). Each level has a maintenance window assigned of 10 days from invoice date (not due date). It is the clients responsibility to advise Nueva Vida Media LLC of maintenance or changes requested in addition to company’s maintenance procedures.
Level 1 Maintenance clients can request to be billed monthly however this does not change the maintenance window schedule.
4. Hosting Services
Our hosting services are through specific relationships with secondary vendors. The choice of vendor used have their own warranty and pricing. Our pricing is not affected but the choices give our clients options to choose from based on their use and needs. Hosting offered by us is paid on behalf of the client. Once hosting has expired we will attempt to et payment 30 days prior to the expiration. If no payment is received after 30 days notification all hosting services will be disabled. (including webpage hosting, email delivery and access, and any other service controlled by the hosting vendor).
15 days after hosting expiration company retains the ability to renew, however we may require and extended service period.
5. Client Responsibilities
Clients are responsible for providing all necessary materials and information required for the successful completion of projects. Delays in providing such materials may result in project delays and will not deem a refund of any deposits.
6. Intellectual Property
Upon full payment, clients will retain ownership of all final deliverables produced by Nueva Vida Media LLC. Nueva Vida Media LLC retains the right to showcase completed projects in its portfolio perpetually.
7. Limitation of Liability
Nueva Vida Media LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services.
8. Governing Law
This agreement shall be governed by and construed in accordance with the laws of South Carolina.
9. Amendments
These Terms and Conditions may be amended from time to time at the discretion of Nueva Vida Media LLC. Clients will be notified of any significant changes.
By engaging (indicative by any invoice payment or quote approval) with Nueva Vida Media LLC for any services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
